Explanation
BACKGROUND: This legislation is to authorize the assignment of all past, present, and future business done by the City of Columbus with CH2M Hill, Inc. to CH2M Hill Engineers, Inc. This change will reflect a company name change and federal identification number change for all contracts and purchase orders established with CH2M Hill, Inc.
CH2M Hill, Inc. will now become CH2M Hill Engineers, Inc. and the previous vendor number / federal identification number 59-0918189 will change to 32-0100027. CH2M Hill, Inc. submitted the following statements in regards to the change:
CH2M HILL has decided to restructure our approach to delivering U.S. Federal and Non-Federal work. Today, the firm conducts business in both U.S. Federal and Non-Federal (commercial) markets, and until now, a significant portion of our Non-Federal business has been housed in the same entities that were set up to satisfy the heavily regulated U.S. Federal market. This change is intended to create a stronger client focus and more efficient delivery approach in both Federal and Non-Federal markets.
CH2M HILL's leadership has decided to move our commercial work out of U.S. Federal entities and into Non-Federal (commercial) entities. This will help us release our Non-Federal business from regulatory requirements that apply to our Federal business only and enhance our compliance position with the U.S. Federal Government.
CH2M HILL wants to assign Contracts from CH2M HILL, Inc. (INC) to CH2M HILL Engineers, Inc. (CHE). CHE will assume all of the rights and benefits under the Contract, but the liabilities and obligations under the Contract will still remain with INC, thereby resulting in no change to the City's degree of protection in accordance with the terms of Agreements and subsequent task orders/amendments.

The company is not debarred according to the Excluded Party Listing System of the Federal Government or prohibited from being awarded a contract according to the Auditor of State Unresolved Findings for Recovery Certified Search.
EMERGENCY DESIGNATION: Emergency designation is requested in order to cancel and re-establish current contracts to continue making payments without any delays.
FISCAL IMPACT: No financial impact is anticipated. Current contracts will be cancelled and re-established with identical funding.

To request Columbus City Council to authorize and direct the Director of Public Utilities to modify all contracts and agreements by assigning all past, present, and future contracts and purchase orders with CH2M Hill, Inc. to CH2M Hill Engineers, Inc., and to declare an emergency.
Body
WHEREAS, the City of Columbus through the Department of Public Utilities has established various contracts and agreements with CH2M Hill, Inc.; and
WHEREAS, CH2M HILL, Inc. has integrated into CH2M HILL Engineers, Inc., and has agreed to honor the past, present and future purchase orders established; and
WHEREAS, an emergency exists in the usual daily operation of the Department of Public Utilities, in that it is immediately necessary to request Columbus City Council to authorize the Director of Public Utilities to assign all contracts past, present, and future of CH2M Hill, Inc. to CH2M Hill Engineers, Inc., in an emergency manner in order to cancel and re-establish current contracts and avoid overdue payments, for the immediate preservation of the public health, peace, property and safety; now therefore,
BE IT ORDAINED BY THE COUNCIL OF THE CITY OF COLUMBUS:
SECTION 1. That the Director of Public Utilities be and is hereby authorized and directed to modify all past, present and future contracts and purchase orders pursuant to those contracts to reflect the change of the company name and FID number of CH2M HILL, Inc., FID #59-0918189 to CH2M HILL Engineers, Inc., FID #32-0100027.
SECTION 2. That this modification is in accordance with Section 329.16 of the Columbus City Codes.
SECTION 3. That for reasons stated in the preamble hereto, which is hereby made a part hereof, this Ordinance is declared to be an emergency measure and shall take effect and be in force from and after its passage and approval by the Mayor, or ten days after passage if the Mayor neither approves nor vetoes the same.
