Explanation
BACKGROUND
This ordinance authorizes the assignment of all past, present, and future business done by the City of Columbus with Winmill Software, Inc., to Virelli, LLC due to the acquisition of the PPM Division of Winmill. This change will reflect a company name change for all contracts and purchase orders established with Winmill Software, Inc. authorized in Ordinance 2706-2025. The original contract was for one year from the date of a confirmed purchase order, with four optional one-year renewals with the approval of City Council. Any future optional renewals will be executed under Virelli, LLC.

Winmill Software, Inc., had a contract compliance number of 053816 which expires 10/9/2027. Virelli, LLC, 2 W Washington Street, Suite 200, Greenville, SC 29601, has a contract compliance number of CC056060 which expires 8/31/2028.
FISCAL IMPACT
There is no expenditure associated with this ordinance.
EMERGENCY DESIGNATION
Emergency action is requested as there is an active contract that provides project management solutions to the Department of Safety. Since the vendor name changed, the department cannot provide payment for those services until legislation is passed and a new PO created with the new vendor name. Failure to make prompt payments will result interrupted receipt of services.

To authorize the Director of the Department of Technology to modify all contracts between the Department of Technology and Winmill Software, Inc., to allow for the assignment of all such contracts from Winmill Software, Inc., to Virelli, LLC; and to declare an emergency. ($0.00)
Body
WHEREAS, Ordinance 2706-2025 authorized the Director of the Department of Technology to enter into an agreement with Winmill Software, Inc. for the purchase of a program and project management (PPM) solution, for the term of one year, with the option to renew for four additional one-year terms; and
WHEREAS, Winmill Software, Inc. has entered agreement with Virelli, LLC for the acquisition of the PPM Division of Winmill; and
WHEREAS, these changes have been documented by written communications from the vendor involved; and
WHEREAS, the City Auditor's Office requires that these changes be officially acknowledged by City Council; and
WHEREAS, to facilitate the Department of Technology's uninterrupted payments to this vendor, it is necessary to assign all contracts and renewals between the Department and Winmill Software, Inc. to Virelli, LLC, the purchaser of the PPM Division on Winmill; and
WHEREAS, an emergency exists in the usual daily operation of the Department of Technology in that it is immediately necessary to authorize the Director to modify the Department's contracts with Winmill Software, Inc. to make assignments to Virelli, LLC to promote accurate recording of transactions and allow uninterrupted receipt of professional services, which are crucial to the design and construction of Department projects and operations, for the immediate preservation of the public health, peace, property, safety, and welfare; and NOW, THEREFORE,
BE IT ORDAINED BY THE COUNCIL OF THE CITY OF COLUMBUS:
SECTION 1. That the Director of the Department of Technology is authorized to consent to the assignment of an existing agreement, authorized pursuant to Ordinance 2706-2025, relating to the purchase of Planview PPM, a program and project management (PPM) solution, from Winmill Software, Inc. to Virelli, LLC, which includes future optional renewals.
SECTION 2. That for the reasons stated in the preamble hereto, which is hereby made a part hereof, this ordinance is hereby declared to be an emergency measure and shall take effect and be in force from and after its passage and approval by the Mayor or ten days after passage if the Mayor neither approves nor vetoes the same.
