Explanation
BACKGROUND:  This legislation is to authorize the assignment of all past, present, and future business done by the City of Columbus with Efacec Advanced Control System, Inc. to Advanced Control System, Inc.  This change will reflect a company name change and federal identification number change for all contracts and purchase orders established with Efacec Advanced Control System, Inc.
Efacec Advanced Control System, Inc. will now become Advanced Control System, Inc. and the previous vendor number / federal identification number 58-1224052 will change to 46-4574462.  Advanced Control System, Inc. is a part of a portfolio of utility related companies controlled by a U.S.-based private equity fund. As, the Company will no longer be part of the Efacec Group, their name will officially change to Advanced Control System, Inc. With this transition, Advanced Control System, Inc. has agreed to transfer its business assets, including those contracts in which Efacec Advanced Control System, Inc. is currently obligated to deliver engineering, consulting, software integration, and technology support services to various administrative departments of the City of Columbus.

EMERGENCY DESIGNATION: Emergency designation is requested in order to cancel and re-establish current contracts to continue making payments without any delays.
 
FISCAL IMPACT: No financial impact is anticipated.  Current contracts will be cancelled and re-established with identical funding.

To authorize and direct the Director of Public Utilities to modify all contracts and agreements by assigning all past, present, and future contracts and purchase orders with Efacec Advanced Control System, Inc. to Advanced Control System, Inc. and to declare an emergency.
 
Body
WHEREAS, the City of Columbus through the Department of Public Utilities has established various contracts and agreements with Efacec Advanced Control System, Inc.; and
 
WHEREAS, Efacec Advanced Control System, Inc.  has been acquired by Advanced Control System, Inc., and has agreed to honor the past, present and future purchase orders established; and
 
WHEREAS, an emergency exists in the usual daily operation of the Department of Public Utilities, in that it is immediately necessary to authorize the Director of Public Utilities to assign all contracts past, present, and future of Efacec Advanced Control System, Inc. to Advanced Control System, Inc., in an emergency manner in order to cancel and re-establish current contracts and avoid overdue payments, for the immediate preservation of the public health, peace, property and safety; now therefore,
 
BE IT ORDAINED BY THE COUNCIL OF THE CITY OF COLUMBUS:
 
SECTION 1.  That the Director of Public Utilities is hereby authorized and directed to modify all past, present and future contracts and purchase orders pursuant to those contracts to reflect the change of the company name and FID number of Efacec Advanced Control System, Inc., FID #58-1224052 to Advanced Control System, Inc., FID #46-4574462.
SECTION 2.  That this modification is in accordance with Section 329.16 of the Columbus City Codes.
 
SECTION 3.  That for reasons stated in the preamble hereto, which is hereby made a part hereof, this Ordinance is declared to be an emergency measure and shall take effect and be in force from and after its passage and approval by the Mayor, or ten days after passage if the Mayor neither approves nor vetoes the same.
