Explanation
BACKGROUND: This legislation authorizes the Finance and Management Director to modify past, present and future contracts and purchase orders with Post Printing Company. Post Printing Company has undergone an acquisition by Pressworks Holdings, LLC. This ordinance authorizes the assignment of all past, present and future business done by the City of Columbus from Post Printing Company; EIN# 34-4419901 to Pressworks Holdings; EIN# 93-4339419.
No additional funds are necessary to modify the option contract(s) as requested. There is no change in the type of products being procured and the original contract and/or purchase orders assigned were informally bid. The original terms and conditions remain in effect.
EMERGENCY DESIGNATION: The Finance and Management Department respectfully requests this legislation be considered an emergency in order to maintain an uninterrupted product distribution and the processing of outstanding invoices.
FISCAL IMPACT: No additional funding is required to modify the option contract. The Department of Finance and Management, Print Services, has set aside their own funding.
Title
To authorize the Finance and Management Director to modify past, present and future contract(s) and purchase orders from Post Printing Company to Pressworks Holdings, LLC., and to declare an emergency.
Body
WHEREAS, the Finance and Management Department has open purchase orders for use by Print Services; and,
WHEREAS, Post Printing Company has been acquired by Pressworks Holdings, LLC., and in addition to notifying the City, Pressworks Holdings, LLC., has agreed to honor the past, present and future contracts and agreements; and,
WHEREAS, an emergency exists in the usual daily operation of the Department of Finance and Management, Print Services, to be able to process outstanding invoices in that it is immediately necessary to modify any contracts and purchase orders established and in process with Post Printing Company, thereby preserving the public health, peace, property, safety, and welfare; now, therefore:
BE IT ORDAINED BY THE COUNCIL OF THE CITY OF COLUMBUS:
SECTION 1. That the Finance and Management Director is hereby authorized to modify all past, present and future contracts and purchase orders pursuant to those contracts to reflect the change from Post Printing Company; EIN#34-4419901 to Pressworks Holdings, LLC., EIN#93-4339419.
SECTION 2. That this modification is in accordance with relevant provisions of Section 329 of the Columbus City Code.
SECTION 3. That for the reasons stated in the preamble hereto, which is hereby made a part hereof, this ordinance is hereby declared to be an emergency measure and shall take effect and be in force from and after its passage and approval by the Mayor, or ten days after passage if the Mayor neither approves nor vetoes the same.
