Explanation
 
The purpose of this legislation is to authorize the Director of Public Utilities to enter into an agreement with GSP/OH, Inc., to provide environmental management system development and implementation assistance for the Department of Public Utilities.  The services will be conducted for all sections within the Department of Public Utilities.  It is requested that this ordinance be handled in an emergency manner in order to expedite the departmental goal of achieving absolute environmental compliance.
 
The contract will provide the Department of Public Utilities with guidance through an Environmental Management System (EMS) development and implementation process and provide environmental management system development and implementation assistance when requested by the Department.  The EMS will establish a well-defined environmental program structure, through the identification of roles and responsibilities of City staff and the adoption of policies, training, and procedures, to achieve long-term environmental regulatory compliance and reduce the Department's overall environmental impact.  The consultant will prepare detailed task orders describing specific task activities, estimated levels of effort, and schedules that conform to the following general task descriptions and attached estimated project schedule.  The Director of Public Utilities received Request for Proposals on July 31, 2008.  Three (3) proposals were received.  A complete evaluation of those proposals is attached.
 
After completing the evaluations and interviews the selection committee recommended an award be made to GSP/OH, Inc.
 
Services under this agreement are to be provided over a period of three years. Funds for the project shall be reviewed and approved each year of the three year contract by City Council and the Mayor, and Auditor's certification of funds.   Not withstanding any provision in this Agreement to the contrary, the maximum obligation of the City for services described in this agreement for the period commencing on December 1, 2008 through December 31, 2009 ("Phase 1") is limited to the amount of four hundred thousand dollars ($400,000.00), unless all the following occur:  this Agreement is modified in writing; City Council enacts an ordinance approving the new amount; the Mayor has authorized the additional amount; and the Auditor has certified the additional funds.  The City is not obligated to spend the maximum obligation authorized under this Agreement.  Phase 2 costs under this agreement for the period from January 1, 2010 through December 31, 2010 are estimated at three hundred thousand dollars ($300,000.00).  Phase 3 costs for the period from January 1, 2011 through December 31, 2011 are estimated at two-hundred and fifty thousand dollars ($250,000.00).   
 
The City may, at any time during the performance of the services under this Agreement, propose a modification of the Contract by a properly authorized written instrument. With the approval of City Council and execution of such modification by both parties hereto, it shall be fully incorporated into this Contract and shall govern all subsequent performance under the Contract.

FISCAL IMPACT: This project was not budgeted in the Sewerage System Operating Fund or the Water System Operating Fund for 2008; however, expenditures will be reprioritized to accommodate this expenditure without increasing the existing budget.  This ordinance is contingent upon the passage of Ordinance Number 1661-2008 transferring appropriations within the Water System Operating Fund.

Body
 
WHEREAS, the Department of Public Utilities has a need to implement an environmental management system to ensure that its environmental compliance activities are sustainable and to reduce the Department's environmental footprint, and
 
WHEREAS, the contract will provide the Department of Public Utilities with environmental management system development and implementation assistance when requested by the Department.  The consultant will prepare detailed task orders describing specific task activities, estimated levels of effort, and schedules that conform to the following general task descriptions and attached estimated project schedule, and
 
WHEREAS, the Director of Public Utilities received RFP's on July 31, 2008 and three (3) proposals were received, and
 
WHEREAS, after completing the evaluations and interviews the selection committee recommended an award be made to GSP/OH, Inc., and,
 
WHEREAS, services under this agreement are to be provided over a period of three years with funds being  reviewed and approved each year of the three year contract by City Council and the Mayor, and Auditor's certification of funds.,  and,
 
WHEREAS, the City may, at any time during the performance of the services under this Agreement, propose a modification of the Contract by a properly authorized written instrument. With the approval of City Council and execution of such modification by both parties hereto, it shall be fully incorporated into this Contract and shall govern all subsequent performance under the Contract, and,
 
WHEREAS, an emergency exists in the usual daily operation of the Division of Power and Water, Department of Public Utilities, in that it is immediately necessary to authorize the Director of Finance and Management to establish a contract, for environmental management system development and implementation assistance, in an emergency manner in order to expedite the departmental goal of achieving absolute environmental compliance, for the immediate preservation of public health, peace, property and safety; now, therefore,
 
 
BE IT ORDAINED BY THE COUNCIL OF THE CITY OF COLUMBUS:
 
Section 1. That the Director of Public Utilities be and is hereby authorized to enter into an agreement with GSP/OH, Inc. for environmental management system development and implementation assistance for the Department of Public Utilities.
 
Section 2.  This ordinance is contingent upon passage of Ordinance Number 1661-2008.
 
Section 3. That the expenditure of $400,000.00 or so much thereof as may be needed, be and the same hereby is authorized as follows:

Section 4.
