Explanation
BACKGROUND: This legislation authorizes the Finance and Management Director to modify past, present and future contracts and purchase orders with Ferguson Enterprises Inc. since it has undergone a name and Federal Tax ID# change due to creating another entity. This ordinance authorizes the assignment of all past, present and future business done by the City of Columbus from Ferguson Enterprises Inc. Federal Tax ID# 541211771 to Ferguson US Holdings Inc. d/b/a Ferguson Enterprises LLC. Federal Tax ID# 541473338.
No additional funds are necessary to modify the option contract(s) as requested. There is no change in the type of products being procured and the original contract was formally bid. The original terms and conditions remain in effect.
EMERGENCY DESIGNATION: The Finance and Management Department respectfully requests this legislation be considered an emergency in order to assign all business under Ferguson Enterprises Inc. to ensure that Mainline Couplings, Clamps, Various Pts, Mainline Hydrant & Repair Pts, Mainline Mechanical Joint Fittings, Mainline Pipe, Valves & Boxes, Mainline Pipe, Valves & Boxes, Sewer and Water Pipe, Sewer Pipe Fittings, Flexible Repair Couplings are readily available for citywide use without delay.
FISCAL IMPACT: No additional funding is required to modify the option contract. Agencies citywide must set aside their own funding for their estimated expenditures.

WHEREAS, the Finance and Management Department, Purchasing Office has option contracts and open purchase orders for Mainline Couplings, Clamps, Various Pts, Mainline Hydrant & Repair Pts, Mainline Mechanical Joint Fittings, Mainline Pipe, Valves & Boxes, Mainline Pipe, Valves & Boxes, Sewer and Water Pipe, Sewer Pipe Fittings, Flexible Repair Couplings for use citywide; and,
WHEREAS, Ferguson Enterprises Inc. has undergone a name and Federal Tax ID# change and in addition to notifying the City, Ferguson US Holdings Inc. d/b/a Ferguson Enterprises LLC. has agreed to honor the past, present and future contracts and agreements; and,
WHEREAS, an emergency exists in the usual daily operation of the Department of Finance and Management in that it is immediately necessary to authorize the Director modify all past, present and future contracts and purchase orders established and in process with Ferguson Enterprises Inc. to ensure various sewerage and drainage, pipes, clamps, valves, boxes, couplings, fittings, and hydrant supplies remain available citywide, all for the immediate preservation of the public health, peace, property, safety and welfare; and NOW, THEREFORE,
BE IT ORDAINED BY THE COUNCIL OF THE CITY OF COLUMBUS:
SECTION 1. That the Director of the Department of Finance and Management is hereby authorized to modify all past, present and future contracts and purchase orders pursuant to those contracts to reflect the change from Ferguson Enterprises Inc. Federal Tax ID# 541211771 to Ferguson US Holdings Inc. d/b/a Ferguson Enterprises LLC., Federal Tax ID# 541473338.
SECTION 2. That this modification is in accordance with relevant provisions of Section 329 of the Columbus City Code.
SECTION 3. That for the reasons stated in the preamble hereto, which is hereby made a part hereof, this ordinance is hereby declared to be an emergency measure and shall take effect and be in force from and after its passage and approval by the Mayor, or ten days after passage if the Mayor neither approves nor vetoes the same.
