Explanation
1. BACKGROUND
This ordinance authorizes the assignment of all past, present, and future business done by the City of Columbus with Rubicon Technologies Holdings, LLC to Wastech Corp. This change will reflect a company name change for all contracts and purchase orders established with Rubicon Technologies Holdings, LLC.
2. CONTRACT COMPLIANCE INFORMATION
Rubicon Technologies Holdings, LLC has a contract compliance number of CC034837 which expires 11/1/2025. The change this ordinance authorizes will be contingent upon Wastech Corp. successfully registering with the City as a Vendor and obtaining a valid contract compliance number, a process which has already begun.
3. FISCAL IMPACT
There is no expenditure associated with this Ordinance.
4. EMERGENCY DESIGNATION
Emergency action is requested to effect these changes as soon as possible to promote accurate recording of transactions and to allow service contracts to proceed as scheduled.

To authorize the Director of the Department of Public Service to modify all contracts between the Department of Public Service and Rubicon Technologies Holdings, LLC to allow for the assignment of all such contracts from Rubicon Technologies Holdings, LLC to Wastech Corp.; and to declare an emergency. WHEREAS, the Department of Public Service has engaged in an ongoing business relationship with Rubicon Technologies Holdings, LLC; and
WHEREAS Rubicon Technologies Holdings, LLC has transitioned to operating under the name of Wastech Corp.; and
WHEREAS, these changes have been documented by written communications from the vendor involved; and
WHEREAS, the City Auditor's Office requires that these changes be officially acknowledged by City Council; and
WHEREAS, to facilitate the Department of Public Service's uninterrupted payments to this vendor, it is necessary to assign all contracts between the Department and Rubicon Technologies Holdings, LLC to Rubicon Technologies Holdings, LLC’s successor firm, Wastech Corp.; and
WHEREAS, an emergency exists in the usual daily operation of the Department of Public Service in that it is immediately necessary to authorize the Director to modify the Department's contracts with Rubicon Technologies Holdings, LLC to make assignments to Wastech Corp. to ensure the uninterrupted collection of refuse in the City, thereby preserving the public health, peace, property, safety, and welfare; NOW, THEREFORE,
BE IT ORDAINED BY THE COUNCIL OF THE CITY OF COLUMBUS:
SECTION 1. That the Director of the Department of Public Service is authorized to modify all contracts Rubicon Technologies Holdings, LLC to allow the assignment of such contracts from Rubicon Technologies Holdings, LLC to Wastech Corp., and is authorized to execute all documents relating thereto.
SECTION 2. That for the reasons stated in the preamble hereto, which is hereby made a part hereof, this ordinance is hereby declared to be an emergency measure and shall take effect and be in force from and after its passage and approval by the Mayor or ten days after passage if the Mayor neither approves nor vetoes the same.
