Title: To authorize the Finance and Management Director to modify past, present and future contracts and purchase orders with Old Dominion Brush Company, Inc.; and to declare an emergency.

Explanation

 

BACKGROUND:  This legislation is to change the Federal Identification number for contracts and purchase orders currently in process and/or established with Old Dominion Brush Company Inc., due to an acquisition of the company by Alamo Group.  This ordinance authorizes the assignment of all past, present and future business done by the City of Columbus from Old Dominion Brush Company Inc., Fed Tax# 54-0715588 to Fed Tax# 81-4164227.

2. Reason additional needs were not forseen: Unaware Old Dominion Brush Company Inc. was in the process of reforming their company to be acquisitioned by Alamo Group.

3. Reason other procurement processes not used: Emergency legislation requested to submit new purchase orders to vendor for goods awarded on previous purchase orders.

4. How cost was determined: N/A

 

FISCAL IMPACT: No additional monies are required to modify the contracts.  Each agency must set aside their own funding for their estimated expenditures.

 

In order to maintain an uninterrupted supply of parts, materials, equipment and/or service to City agencies using Universal Term Contracts and open Purchase Orders, this ordinance is being submitted as an emergency.

 

 

Title

 

To authorize the Finance and Management Director to modify past, present and future contracts and purchase orders with Old Dominion Brush Company, Inc.; and to declare an emergency.

 

Body

 

WHEREAS, the Finance/Purchasing Office and other agencies have issued several one-time purchase orders established with Old Dominion Brush Company Inc. under their previous name and Federal Tax ID number; and

 

WHEREAS, Old Dominion Brush Company Inc., has changed their operations and taken a new federal tax id number; and

 

WHEREAS, an emergency exists in the usual daily operation of the Department of Finance and Management, Purchasing Office, in that it is immediately necessary to modify all contracts and purchase orders established and in process with Old Dominion Brush Company, Inc., thereby preserving the public health, peace, property, safety, and welfare, now, therefore,

 

BE IT ORDAINED BY THE COUNCIL OF THE CITY OF COLUMBUS:

 

SECTION 1.  That the Finance and Management Director be and is hereby authorized to modify all past, present and future contracts with Old Dominion Brush Company, Inc., and purchase orders pursuant to those contracts, to reflect the new FID number from Fed Tax# 54-0715588 to Fed Tax# 81-4164227.

 

SECTION 2.  That for the reasons stated in the preamble hereto, which is hereby made a part hereof, this ordinance is hereby declared to be an emergency measure and shall take effect and be in force from and after its passage and approval by the Mayor, or ten days after passage if the Mayor neither approves nor vetoes the same.
